1. Definitions

• "Agreement" — these Terms and Conditions, together with any service arrangement letter or written agreement.
• "Service" — the home companionship, social engagement, and family coordination programmes described on our website.
• "User" / "you" — any person who visits our website or enquires about our services.
• "Client" — a family or individual who has entered into a formal service arrangement with us.
• "Content" — all text, images, and other material published on our website.
• "Companion" — a Cendana team member arranged to provide in-home companionship or accompany outings.

2. Acceptance of Terms

By using this website or submitting an enquiry, you confirm that:

• You are at least 18 years of age and have the legal capacity to enter into this Agreement.
• You accept these Terms on your own behalf and, where applicable, on behalf of the older relative or household you represent.
• You have read and understood the scope of services described herein.

3. Service Description

Cendana provides general home companionship, household assistance coordination, social engagement, and family information services for older adults residing in the Klang Valley, Malaysia. Our three core service arrangements are:

• Family Coordination & Information Service — an initial planning session with ongoing coordination, written support plan, and community resource list (RM 680, one-time).
• Social Engagement Programme — a recurring monthly programme of arranged group activities, outings, and companion accompaniment (RM 1,600/month).
• Daytime Companionship Programme — structured daytime companionship sessions at home on chosen days each week (RM 4,100/month).

Service availability is subject to companion scheduling and geographic coverage within the Klang Valley. We reserve the right to decline or adjust arrangements where circumstances require.

Cendana provides general companionship and coordination services only. Our services are not a substitute for professional care, nor do they constitute any form of regulated health, medical, or social-care provision.

4. User Responsibilities

When using our website or services, you agree to:

• Provide accurate, complete, and up-to-date information when submitting enquiries or entering service arrangements.
• Use our website only for lawful purposes and in accordance with these Terms.
• Treat our companions and team members with respect and courtesy.
• Notify us promptly of any changes to your contact details or service requirements.
• Not attempt to reproduce, distribute, or commercially exploit our website content without written permission.

5. Intellectual Property

All content on this website, including text, design, graphics, logos, and structural elements, is owned by or licensed to Cendana and protected under applicable Malaysian intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to view and print pages for personal, non-commercial reference only. No other use is permitted without our express written consent.

6. Payment Terms

• All fees are quoted in Malaysian Ringgit (RM) and are subject to change. Current pricing is published on our website.
• Monthly programme fees are payable in advance at the beginning of each service month unless otherwise agreed in writing.
• Accepted payment methods will be communicated during the service onboarding process.
• Fees paid are non-refundable once a service period has commenced, except where Cendana is unable to fulfil the agreed arrangement.
• If you wish to cancel a monthly programme, we require written notice at least 14 calendar days before the next billing cycle.

7. Service-Specific Terms

• An initial planning conversation will be arranged before service commencement to confirm scope, schedule, and household preferences.
• Service schedules are arranged by mutual agreement and may be adjusted with reasonable notice on both sides.
• Companion sessions cancelled by the client with fewer than 48 hours' notice may be charged at the standard session rate.
• If Cendana needs to reschedule a session, we will provide as much advance notice as possible and arrange a suitable alternative time.
• Community resources and referrals provided under the Family Coordination service are shared for general information purposes and do not constitute a professional referral or endorsement.

8. Disclaimers

Our services and website content are provided in good faith and to the best of our ability. However:

• We do not represent or warrant that our services will meet every individual's specific needs or circumstances.
• No content on our website should be construed as professional advice of any kind — including legal, financial, or care-related guidance.
• We do not warrant that the website will be available at all times or free from errors.

9. Limitation of Liability

To the extent permitted by Malaysian law, Cendana's total liability to you for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential losses including loss of income, loss of opportunity, or reputational harm.

Nothing in these Terms limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Cendana, its team members, and representatives from and against any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of our services, or any false or misleading information you provide to us.

11. Termination

• Either party may end an ongoing service arrangement by providing 14 days' written notice.
• We may terminate or suspend services with immediate effect if a client breaches these Terms or if the safety or wellbeing of our team members is at risk.
• Upon termination, any outstanding fees remain payable. Sections relating to intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. In the event of a dispute:

• Both parties will first attempt to resolve the matter informally through direct communication within 30 days.
• If informal resolution fails, disputes shall be referred to mediation under the auspices of the Malaysian Mediation Centre before any court action.
• The courts of Kuala Lumpur, Malaysia shall have non-exclusive jurisdiction over any unresolved disputes.

13. General Provisions

• Entire Agreement — These Terms, together with any written service arrangement, constitute the entire agreement between you and Cendana.
• Severability — If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver — Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
• Assignment — You may not assign your rights under these Terms without our written consent. We may assign our obligations to a successor entity.
• Notices — Formal notices should be sent in writing to our registered address or via email to [email protected].

14. Changes to These Terms

We may revise these Terms from time to time. Updated versions will be posted on this page with a revised "Last Updated" date. For material changes, we will make reasonable efforts to inform existing clients. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
